This End User License Agreement ("Agreement" or "EULA") is entered into between HEN (the "Company") and you, the user (the "User"). This EULA governs your use of the HEN web-based software (the "Software") and is incorporated by reference into the HEN Terms of Service.
The Company grants the User a revocable, non-exclusive, and non-transferable license to use the HEN Software. This license is granted solely for the User's internal business operations, which includes booking and managing live music events. The User is expressly prohibited from trying to reverse-engineer, modify, or create derivative works of the HEN software, or from selling, renting, leasing, or distributing the Software.
The Software, including all proprietary code, graphics, interfaces, and underlying technology, is the sole property of the Company. The Company retains ownership and copyright of the underlying structure and language of its standard contract templates. Users are permitted to use and modify these templates for their own purposes both within and outside of the HEN Software.
The User irrevocably assigns to the Company all rights, title, and interest (including all Intellectual Property rights) in and to any feedback, suggestions, bug reports, or modifications provided regarding the Software. This assignment survives the termination of this Agreement.
Regarding any custom contracts or proprietary materials a User uploads to HEN, the User grants the Company a non-exclusive, worldwide, royalty-free license to store, display, process, and execute that material. This license is strictly limited to the purpose of providing the HEN Service to the uploading User (e.g., integrating with DocuSign and generating documents). The User retains full ownership, control, and liability for the legal content and intellectual property within any custom agreement they upload.
This Agreement commences upon acceptance and continues until terminated. The Company reserves the right to terminate the User's license at any time, for any reason, with or without notice.
Subscriptions are billed on a monthly basis and automatically renew each month unless cancelled by the User. The Company reserves the right to modify subscription pricing at its discretion. Users on auto-renewal will be notified of any price increase no less than 30 days in advance of the change taking effect.
The obligations and rights defined in the sections governing Limitation of Liability, IP Assignment, Indemnification, and Dispute Resolution (as detailed in the Terms of Service) shall expressly survive the termination of this EULA.
This EULA is part of a binding legal agreement. The Terms of Service (governing user conduct and financial disputes) and the Privacy Policy (governing data collection and rights) are expressly incorporated into this EULA by reference.
Any disputes arising out of or related to this Agreement are subject to mandatory binding individual arbitration as detailed in the Terms of Service. Class actions and representative proceedings are prohibited.
